1. Agreement to Terms

These Terms of Service (“Terms”) form a binding agreement between you and Jobayer AI (“Jobayer AI,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

2. Our Services

Jobayer AI designs, builds, and operates custom AI automations, including AI chatbots and WhatsApp automation, along with related dashboards and analytics. The specific scope, deliverables, and fees for any engagement will be set out in a separate proposal or order confirmation agreed between us.

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent.

4. Client Responsibilities

• Provide accurate, lawful, and complete information needed to build and operate your automations.
• Obtain all consents and rights required for us to process your data and your customers' data.
• Comply with the policies of third-party platforms you connect, such as WhatsApp's Business and commerce policies.
• Use the services only for lawful purposes and not for spam, fraud, harassment, or any prohibited content.

5. Fees and Payment

Fees, billing frequency, and payment terms are specified in your proposal or order confirmation. Unless otherwise stated, fees are exclusive of applicable taxes. Late or non-payment may result in suspension of the services.

6. Intellectual Property

We retain ownership of our pre-existing tools, frameworks, methodologies, and any general-purpose components used to deliver the services. Subject to full payment, you receive a licence to use the specific automation deliverables we build for your business. You retain ownership of your own content, branding, and data.

7. AI-Generated Output

Our services use artificial intelligence to generate responses and recommendations. While we work to make automations accurate and on-brand, AI output may occasionally be incomplete or incorrect. You are responsible for reviewing and supervising the automations as appropriate for your business, and AI output does not constitute professional, legal, financial, or medical advice.

8. Third-Party Services

Our services may rely on or integrate with third-party platforms. We are not responsible for the availability, performance, or policies of those third parties, and your use of them is governed by their respective terms.

9. Confidentiality

Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms.

10. Warranties and Disclaimers

We provide the services with reasonable skill and care. Except as expressly stated, the website and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Jobayer AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of or relating to the services shall not exceed the amount you paid to us for the services in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Jobayer AI from claims, damages, and expenses arising out of your misuse of the services, your content, or your breach of these Terms or applicable law.

13. Termination

Either party may terminate an engagement as set out in the applicable proposal. We may suspend or terminate access to the website or services if you breach these Terms. Provisions that by their nature should survive termination will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the website or services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. The courts of Dubai shall have jurisdiction over any disputes, unless otherwise required by mandatory law.
